Bauerfeind ANZ – Authorised Reseller Program

This Authorised Reseller Policy (“Policy”) sets out the requirements for any reseller (“Partner”) authorised to sell Bauerfeind products in Australia and New Zealand. It is incorporated by reference into the Bauerfeind ANZ Reseller Agreement and forms part of the conditions of supply.

Bauerfeind may update this Policy from time to time.

1. Purpose

This Policy is designed to:

  • Ensure Bauerfeind’s brand reputation as a premium product is maintained
  • Ensure consistent, accurate product information for customers
  • Prevent misleading or unauthorised advertising practices
  • Maintain a fair and competitive marketplace for authorised resellers

2. Definitions

  • Bauerfeind Brand Assets: Bauerfeind trademarks, product names, logos, trade dress, product imagery, and other brand materials.
  • Authorised Channels: Online or offline channels expressly approved by Bauerfeind for resale.
  • Prohibited Keywords: Bauerfeind trademarks, product names, and associated terms (including misspellings) listed by Bauerfeind from time to time.

3. Brand Guidelines

Partners must:

  1. Use only official Bauerfeind logos and brand colours (unaltered) in line with the Bauerfeind Brand CI Guide.
  2. Not modify, distort, or alter Bauerfeind logos or brand elements.
  3. Not use Bauerfeind branding to imply partnership, endorsement, or official status beyond what is granted in the Reseller Agreement.
  4. Not bundle Bauerfeind products with unapproved third-party products in marketing or promotional materials.
  5. Only use Bauerfeind Brand Assets in connection with genuine Bauerfeind products purchased through authorised channels.
  6. Not register or use Bauerfeind trademarks in domain names, social media handles, usernames, or paid search display URLs.

4. Product Images, Content & Updates

Partners must:

  1. Use only official Bauerfeind product images provided (high-resolution, unaltered, no text or logo overlays unless authorised).
  2. Not use AI-generated, photoshopped, or stock images that resemble Bauerfeind products.
  3. Use the official product names and descriptions provided by Bauerfeind, or rewrite them ensuring technical and medical accuracy is preserved.
  4. Not copy-paste Bauerfeind website content in full - all content must be original or officially licensed.
  5. Include correct sizing information on every product listing.
  6. Update product listings within 7 business days of changes issued and notified by Bauerfeind.
  7. Make corrections or removals within 3 business days if notified by Bauerfeind of a breach.
  8. Not watermark Bauerfeind images with Partner branding unless approved in writing.

5. Advertising Rules

Partners may promote Bauerfeind products via their own website and approved channels (e.g., Google Ads, Meta Ads) under the following conditions:

5.1 Keyword Bidding Restrictions

  • Partner must not bid on, purchase, or otherwise target Bauerfeind trademarks, product names, or misspellings as search advertising keywords.
  • Partner must apply Prohibited Keywords as negative keywords at account level.
  • Permitted exception: Partner may bid on Bauerfeind product names only when combined with their own brand name and in phrase match format (e.g., “GenuTrain SportPhysio”).

5.2 Ad Content & Brand Usage

  • Bauerfeind trademarks must not appear in ad headlines, primary text, or display URLs without written approval from Bauerfeind ANZ Marketing.
  • All advertising creative (image, video, text) containing Bauerfeind Brand Assets must be submitted for approval before deployment.

5.3 Retargeting Restrictions

  • Partner must not use Bauerfeind Brand Assets in retargeting ads to direct traffic to non-Bauerfeind product pages.

5.4 Social Media

The Reseller may refer to approved Bauerfeind® products in marketing or social media content provided that such references are approved, factual, professional, and do not imply endorsement by Bauerfeind ANZ beyond an Authorised Reseller. All use of Bauerfeind trademarks, imagery, or logos must adhere to Bauerfeind’s Brand Guidelines and must not be modified, stylised, or combined with other branding without written consent.

5.4 Referrals and Partnerships

Authorised Reseller may collaborate with other allied health professionals for patient care or joint educational initiatives as well selling products directly to them. However, Bauerfeind products must not be resold, promoted, or represented online by any third party not directly authorised by Bauerfeind ANZ.

Any referral or co-marketing activity involving third parties must be approved by Bauerfeind ANZ and maintain Bauerfeind’s premium positioning as well as comply with applicable advertising regulations.

6. Commercial Terms

6.1 Initial Buy-In Requirement (New Partners)

The Partner must commit to an initial minimum buy-in of AUD $5,000 (exclusive of GST) in Bauerfeind products. This requirement applies either:

a) Physical Stock Model – where the Partner purchases (the minimum buy in) and holds inventory for resale; or

b) Non-Stock Model (Credit Purchase):
Where the Partner elects not to hold inventory, the Partner must commit to a non-refundable credit of AUD $5,000 (exclusive of GST). The Partner may utilise the full AUD $5,000 credit towards stock purchases within the first six (6) months from the commencement of the partnership. If the Partner purchases stock to a value less than the credit amount and subsequently ceases to be a Partner within or after this period, any unused portion of the credit will be forfeited and is not refundable under any circumstances.

This minimum buy in amount serves as a demonstration of the Partner’s commitment and contributes towards Bauerfeind’s initial service-related activities carried out on behalf of the Partner. These services may include, but are not limited to, warehousing, logistics, digital content creation, and other operational support.

Failure to meet this requirement constitutes a material breach of this Agreement and may result in suspension or termination of supply.

6.2 Ongoing Annual Minimum Spend Requirement (Existing Partners)

Existing Partners are required to maintain an annual minimum spend of AUD $5,000 (exclusive of GST) in Bauerfeind products (“Annual Minimum Spend”).

This requirement applies on a rolling 12-month basis from the anniversary date of the Partner’s initial onboarding or most recent renewal period. Bauerfeind reserves the right to review and adjust the Annual Minimum Spend amount from time to time, with reasonable written notice to the Partner.

Failure to meet the Annual Minimum Spend requirement may, at Bauerfeind’s discretion, result in a cessation of supply and rights to being an Authorised Reseller of Bauerfeind products.

The Annual Minimum Spend is intended to demonstrate the Partner’s ongoing commitment to representing the Bauerfeind brand and maintaining sufficient sales activity to justify the provision of continued commercial, marketing, and operational support.

6.3 Mandatory Training

The Partner, and any staff involved in the sale or promotion of Bauerfeind products, must complete Bauerfeind-approved product training before commencing online sales activities.

  • Training shall be provided either in-person, online, or via other methods determined by Bauerfeind.
  • Bauerfeind reserves the right to require refresher training at reasonable intervals to ensure product knowledge and brand standards are maintained.

6.4 Product Selection Approval

The Partner must obtain written approval from Bauerfeind for all Bauerfeind products they intend to sell. Bauerfeind reserves the sole right to:

  • Approve or reject specific product lines based on market strategy, territory restrictions, or brand positioning; and
  • Amend the list of approved products at any time, upon providing written notice to the Partner.

6.5 Termination Notice

Either party may terminate the Reseller Agreement by providing no less than twenty one (21) days’ written notice to the other party. Termination may be immediate if the Partner is in material breach of this Agreement or engages in conduct harmful to the Bauerfeind brand.

6.6 Returned Stock and Restocking Fees

a) If the Agreement is terminated within the first three (3) months, the Partner may return unsold Bauerfeind products to Bauerfeind, subject to:

    • Payment of a thirty percent (30%) restocking fee calculated on the invoiced value of the returned goods; and
    • Goods being in resaleable condition, unopened, and within their shelf life.

b) After three (3) months from commencement of the Agreement, no refunds or credits will be provided for returned stock (our standard exchange policy applies thereafter).

6.7 Product Warranty

The Reseller may display a summary of Bauerfeind’s official warranty and consumer rights information on its website, provided that the wording remains consistent with Bauerfeind’s official documentation.

All warranty and return claims from end customers must be lodged directly with the Authorised Reseller from whom the purchase was made. The Reseller will then liaise with Bauerfeind ANZ for assessment and resolution in accordance with Bauerfeind’s warranty policy.

Resellers must not instruct customers to contact Bauerfeind ANZ directly for warranty claims or product returns. Any customer-facing references should clearly direct inquiries to the Reseller as the first point of contact.

The Reseller may include the following approved text on its website:

“All Bauerfeind products sold by [Partner Name] are covered by the manufacturer’s standard warranty. For warranty or return inquiries, please contact [Partner name] directly – we will assist you through the process with Bauerfeind products.”

6.8 Territory Restrictions

The Partner is authorised to resell Bauerfeind products solely within their designated market, being either Australia or New Zealand.

  • The Partner must not market, sell, or distribute Bauerfeind products outside their authorised territory without Bauerfeind’s prior written consent.
  • Cross-border sales, including but not limited to online listings, international shipping, or fulfilment to customers outside the authorised territory, are strictly prohibited unless expressly approved by Bauerfeind.
  • Any breach of this clause constitutes a material breach of the Agreement and may result in immediate suspension or termination of supply.

7. Compliance & Enforcement

  • Breach of this Policy constitutes a material breach of the Reseller Agreement.
  • Bauerfeind may, at its discretion, require immediate corrective action, suspend supply, or terminate the Reseller Agreement in the event of non-compliance.
  • Bauerfeind reserves the right to conduct audits of Partner’s advertising, product listings, and use of Bauerfeind Brand Assets to ensure compliance.
